01About these terms

These Terms of Service ("Terms") govern your access to and use of the MIRA website, platform and related services (the "Service"), operated by Indie Author Academy LLC ("MIRA", "we", "us").

Our Privacy Policy and Cookie Policy explain how we handle personal information and form part of these Terms.

02Eligibility and accounts

You must be at least 18 years old, and able to form a binding contract, to use MIRA. If you use MIRA on behalf of a company or other organization, you confirm that you have authority to bind it to these Terms.

You are responsible for keeping your login details secure and for all activity under your account. Provide accurate information and keep it up to date. Tell us promptly at hello@mira.com if you suspect unauthorized access.

03The Service

MIRA helps authors create marketing content from their books and publish it to social media accounts. Depending on your plan, the Service includes content generation, book indexing with Booketeer, automated campaigns ("Buckets"), scheduling, publishing and analytics.

We continually improve MIRA and may add, change or remove features. If we make a change that materially reduces the Service you have paid for, we will give you reasonable notice.

04Plans, credits and payment

Subscriptions

Paid plans are billed in advance, monthly or on the cycle shown at checkout, and renew automatically until you cancel. Prices and applicable taxes are shown before you confirm a purchase. Payments are processed by Stripe.

Credits

Content generation uses credits. Credits included in a plan, or bought separately, are valid for the period stated at purchase, have no cash value and cannot be transferred.

Cancellation and refunds

You can cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused credits.

Price changes

We may change our prices. We will notify you at least 30 days before a price change affects your subscription, and it will apply from your next billing period. If you do not agree, you can cancel before it takes effect.

Add-ons and rented accounts

Booketeer indexing and MIRA-managed TikTok accounts are optional add-ons priced separately. Accounts rented from MIRA remain owned and controlled by MIRA, are provided only for the rental period and may not be transferred or used outside the Service.

05Your content

You own your content. You keep all rights to the manuscripts, text, images, videos and other material you upload to MIRA and to the content you create with it ("Your Content").

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt and display Your Content solely to provide and improve the Service for you, including to generate drafts and publish posts to the accounts you choose. This license ends when you delete Your Content or your account, except for copies we must keep for legal reasons or that remain in backups for a limited time.

You confirm that you have all the rights needed to upload Your Content and to let MIRA use it as described, and that it does not infringe anyone else's rights or break the law.

06AI-generated content

MIRA uses artificial intelligence to help you create content. AI output can be inaccurate, incomplete or similar to content produced for others. You are responsible for reviewing all content before it is published and for making sure it is accurate, lawful and appropriate for your audience.

Subject to these Terms and applicable law, we assign to you any rights we have in the output generated for you.

07Connected accounts and publishing

When you connect a TikTok account or another third-party platform, you authorize MIRA to access it and to publish, schedule and retrieve content on your behalf, according to the settings you choose.

• You must comply with the terms, community guidelines and policies of each platform you connect, including TikTok's Terms of Service and Community Guidelines.
• When you start a Bucket or schedule a post, you authorize MIRA to publish the approved content automatically until you pause or stop it.
• Third-party platforms are not controlled by MIRA. We are not responsible for their availability, changes to their APIs, or actions they take on your account or content.

You can disconnect an account at any time from your settings.

08Acceptable use

You agree not to use MIRA to:

• publish content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence;
• infringe or misappropriate anyone's intellectual property, privacy or other rights;
• mislead people, impersonate any person or brand, or misrepresent your affiliation;
• send spam or engage in artificial engagement, such as fake accounts, follower schemes or coordinated inauthentic behavior;
• violate the rules of any platform you connect;
• access the Service by automated means other than through features we provide, or scrape, copy or resell it;
• probe, disrupt, overload or bypass the security of the Service, or reverse engineer it except where the law allows.

We may remove content or suspend accounts that break these rules.

09Our intellectual property

MIRA, including its software, design, text, graphics and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service in line with these Terms. Nothing in these Terms transfers any of our intellectual property to you.

If you send us feedback or suggestions, we may use them freely without any obligation to you.

10Copyright complaints

We respect intellectual property rights. If you believe content in MIRA infringes your copyright, send a notice to hello@mira.com that includes: your contact details; a description of the copyrighted work; the location of the allegedly infringing material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.

We may remove the material and, in appropriate cases, terminate the accounts of repeat infringers.

11Suspension and termination

You can stop using MIRA and delete your account at any time.

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use creates a risk for MIRA, other users or third parties. Where reasonable, we will give you notice and a chance to fix the problem first.

When your account ends, your right to use the Service stops. Before closing your account you can download Your Content or ask us for a copy; after that, we delete it as described in our Privacy Policy. Sections that by their nature should survive, such as ownership, disclaimers, limitation of liability and governing law, will survive termination.

12Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not guarantee that the Service will be uninterrupted or error-free, or any particular result from using it, including views, followers, sales or rankings.

13Limitation of liability

To the fullest extent permitted by law, MIRA will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the Service.

Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or US$100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

14Indemnity

You agree to defend and indemnify MIRA and its affiliates, officers and employees against any claims, damages and costs, including reasonable legal fees, arising from Your Content, your use of the Service or your breach of these Terms.

15Governing law and disputes

These Terms are governed by the laws of the State of State, United States, without regard to its conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in County, State, and both parties consent to their jurisdiction.

Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. If you are a consumer living in the EU or UK, you keep the protection of the mandatory laws of your country and may bring proceedings in your local courts.

16Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. If the changes are material, we will notify you by email or through the Service at least 30 days before they take effect. By continuing to use MIRA after the changes take effect, you accept the updated Terms.

17General

These Terms are the entire agreement between you and MIRA about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control.
